Property and Real Guarantees in the Company

It studies the function of property, possession, assets and real guarantees in business activity and in financing operations.

Corporate Liability

It analyzes the risks of civil and property liability arising from business activity, including directors' liability, defective products and asset protection.

Business Conflict Resolution

It examines judicial and alternative mechanisms for resolving business disputes, such as negotiation, mediation, arbitration, and precautionary measures.

Methodology of Legal Research 1

Introduce the student to the identification of the legal problem, the delimitation of the topic and the methodological bases of research in Business Law.

Module II: Companies, corporate governance and financing

Company Law 1

It studies the structural decisions of the corporate enterprise, including choice of corporate type, share capital, shares, dissolution, liquidation and extinction.

Company Law 2

It delves into business reorganizations, corporate groups, conflicts between partners, corporate agreements and mechanisms for resolving internal disputes.

Corporate Governance and Family Businesses

It analyzes the rules of good governance, the institutionalization of family businesses, family protocols, succession and conflict prevention.

Government of People

It studies talent management, leadership, motivation, communication, and the processes of managing people within the business organization.

Corporate Compliance

It addresses the design and implementation of compliance programs to prevent legal, regulatory, criminal, and reputational risks in the company.

Financial Contracting and Financing Schemes

Study the main credit and business financing contracts, such as leasing, factoring, confirming, guarantees and creditor protection clauses.

Methodology of Legal Research 2

Appointment of a faculty advisor for the development of a thesis or research project. This includes developing the formulation of objectives, hypotheses, or research questions, as well as the initial construction of the theoretical and methodological framework.

Competition Law and Commercial Advertising

It examines anti-competitive practices, unfair competition, commercial advertising, and the monitoring mechanisms applicable to business conduct in the market.

Elimination of Bureaucratic Barriers and Defense of Freedom of Enterprise

Analyze the illegal or unreasonable administrative restrictions that affect business activity and the mechanisms to challenge them before INDECOPI.

Law and Regulation in Regional Productive Activities

It studies the regulations applicable to productive activities relevant to the regions, such as agro-industry, fishing, aquaculture, extractive activities and agricultural cooperatives.

Contracting with the State

It addresses the public procurement system, selection procedures, contract execution, sanctions, disputes and defense of contracting companies.

Methodology of Legal Research 3

Presentation of a first draft of the research work or thesis. It delves into the analysis of normative, jurisprudential, and doctrinal sources, as well as the systematization of arguments for the research work.

It accompanies the culmination of the research work, with emphasis on final writing, legal argumentation and use of sources.
